These Terms of Service govern access to and use of Strayas Own (“we”, “us”, or “our”), including consumer shopping discovery tools, the Canadian Maker Portal, and recurring paid subscription services.

1. Acceptance of Terms & Electronic Contracting
By browsing, accessing, or creating an account on strayasown.com, subscribing to a maker plan, or entering payment credentials, you affirm that you have read, understood, and unconditionally agree to be bound by these Terms of Service and our Privacy Policy.
These terms constitute a legally binding electronic agreement between you (individually or on behalf of the commercial entity you represent, hereinafter “User” or “Maker”) and Strayas Own (operated by Orbnexus Technologies Inc. and founder Asif Khan). If you do not accept these terms in full, you must immediately terminate use of our platform and portal services.
2. Nature of the Discovery Engine
Strayas Own provides an independent digital directory, shopping discovery engine, and verified Canadian manufacturing index designed to help consumers locate Canadian-owned brands and domestic products.
Except for subscription services offered directly through the Maker Portal, Strayas Own is not a direct retail merchant, does not warehouse consumer physical goods, and does not fulfill consumer retail orders. We index products and connect shoppers directly to official merchant storefronts and verified Canadian domestic manufacturers.
3. Consumer Purchases & Affiliate Disclosure
Outbound links connecting consumers to external merchant websites may be affiliate referral links. Strayas Own participates in publisher affiliate programs, including Amazon Associates and eBay Partner Network, earning qualifying referral commissions at no additional cost to shoppers.
Independent Retailer Contracts: Any consumer transaction for third-party products is solely between the consumer and the destination retailer. Strayas Own disclaims all liability for merchant inventory, fulfillment, shipping delays, customs duties, warranties, and consumer product returns.
Canadian domestic businesses, makers, and brand owners may subscribe to enhanced visibility tiers (“Verified Discovery” at $9.99 CAD/month or $99.00 CAD/year with 2 months free, or custom corporate tiers) via the Canadian Maker Portal.
Payment Terms & Authorization:
Exclusive Canadian Dollar (CAD) Billing: All maker subscriptions are priced and billed exclusively in Canadian Dollars ($ CAD). Strayas Own will not charge foreign currency markups.
Automatic Recurring Subscription: By providing payment details and confirming subscription checkout, you authorize Strayas Own (via Stripe) to charge the designated credit card or payment method on a recurring monthly basis on the renewal date of each billing cycle until you formally cancel.
Payment Processing via Stripe: All transactions are processed through Stripe, Inc. under PCI-DSS Level 1 compliance. Strayas Own does not store raw credit card numbers or cardholder verification codes.
Taxes: All listed prices exclude applicable Canadian federal, provincial, or harmonized sales taxes (GST/HST/PST), which will be calculated and collected based on your billing jurisdiction where required by law.
Payment Failure: If a scheduled renewal charge fails, Strayas Own will make automated retry attempts via Stripe. If unpaid after five (5) calendar days, Strayas Own reserves the right to suspend portal analytics, revoke verified maker badges, and revert brand listings to default directory status.
You may cancel your Maker subscription at any time without penalty. Cancellations can be performed with one click directly inside your Maker Portal under the Billing tab, or by emailing [email protected] at least 48 hours prior to your next renewal date.
Upon cancellation, your verified badges, analytics tools, and priority discovery remain active through the end of your current paid billing period. No further renewal charges will be executed.
B. Strict Non-Refundable Fee Policy
Because Strayas Own immediately provisions computing resources, directory indexing, database updates, SEO indexing crawlers, and domestic verification badges upon payment confirmation, all subscription fees, listing payments, and renewal charges are strictly non-refundable.
We do not provide refunds, credits, or prorated reimbursements for partial months, unused features, or accounts that cancel mid-cycle.
C. Chargeback Waiver & Dispute Resolution
Maker agrees that prior to initiating any payment dispute, chargeback, or reversal through their credit card issuer or bank, Maker must notify Strayas Own in writing at [email protected] with complete details of the inquiry and allow fourteen (14) business days for resolution.
If a Maker files a chargeback in breach of this agreement or for services legitimately rendered under these Terms, Maker agrees to reimburse Strayas Own for all administrative dispute processing fees ($50.00 CAD per dispute), bank fees, and reasonable legal costs incurred by Strayas Own in defending the chargeback. Strayas Own reserves the right to immediately terminate the Maker account and delist the brand permanently.
6. Canadian Origin Standards & Maker Warranties
Every brand subscribed to the Maker Portal represents and warrants that all documentation, manufacturing descriptions, business registration numbers, and domestic origin claims submitted to Strayas Own are truthful, accurate, and up-to-date.
Makers specifically warrant that all product labeling, “Product of Canada”, and “Made in Canada” designations comply with the Canadian ACCC Guidelines (including the statutory 51%+ domestic direct cost rule where applicable).
Strayas Own reserves the right to audit claims and revoke verified status immediately if a brand falsifies Canadian corporate ownership or domestic production claims. In such events, no refund of subscription fees will be granted.
7. Intellectual Property & Trademarks
All original software architecture, UI design, text, search taxonomy, and branding of Strayas Own are protected under Canadian and international intellectual property laws.
Maker Brand Assets: Subscribing Makers grant Strayas Own a non-exclusive, worldwide, royalty-free license to display their business name, logos, and product catalog media solely for search indexing, directory presentation, and platform promotion. Makers retain full ownership of their intellectual property.
Third-party trademarks referenced in comparative editorial reviews are used nominatively for consumer identification under fair use.
8. Permitted Conduct & Account Security
Makers and users agree not to:
Share Maker Portal credentials or access tokens with unauthorized third parties.
Submit fraudulent, deceptive, or misleading claims regarding brand ownership or origin.
Interfere with the platform via automated scripts, scrapers, or denial-of-service attacks.
Utilize the portal to market unlawful, defamatory, or infringing merchandise.
9. Comprehensive Indemnification
Maker agrees to defend, indemnify, and hold harmless Strayas Own, Orbnexus Technologies Inc., its directors, officers, contractors, and founder Asif Khan from and against any and all claims, demands, liabilities, damages, losses, fines, settlements, and expenses (including full solicitor-client legal fees) arising out of or relating to:
Any breach by Maker of these Terms of Service or Maker Portal guidelines;
Any product safety claim, customer dispute, warranty claim, defect, or commercial injury involving goods sold by Maker;
Any false, deceptive, or misleading advertising or Canadian origin claim made by Maker;
Any infringement of third-party copyright, trademark, patent, or proprietary rights by Maker assets; or
Any payment dispute, unauthorized card use, or chargeback initiated by or on behalf of Maker.
10. Disclaimers & Limitation of Liability
No Guarantee of Commercial Sales: Strayas Own provides discovery tools, catalog indexing, and visibility exposure. Strayas Own explicitly makes no representations or warranties regarding minimum customer traffic, sales conversion rates, revenue, or commercial profit.
CANADIANOWN IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, CANADIANOWN AND FOUNDER ASIF KHAN DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
Monetary Liability Cap:In no event shall Strayas Own’s aggregate liability for all claims arising out of these Terms or the Maker subscription service exceed the total amount actually paid by Maker to Strayas Own during the one (1) month immediately preceding the event giving rise to liability.
11. Governing Law & Exclusive Jurisdiction
These Terms of Service and any dispute arising from them shall be governed exclusively by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts of British Columbia, located in Vancouver, BC, shall have exclusive personal jurisdiction and venue to resolve any legal disputes.
